Vanijya Technology – Comprehensive Terms & Conditions for Services

This document outlines the standard terms and conditions for all web design, software development, and related services provided by Vanijya Technology (“the Company”). By engaging our services and remitting the advance payment, you (“the Client”) confirm your acceptance of and agreement to these terms.

1. Project Commencement & Payment Structure

  • 1.1. Advance Payment: A non-refundable advance payment of 40% of the total project cost is required to secure project scheduling and commence work.

  • 1.2. Final Payment: The remaining 60% balance is due upon project completion and must be paid in full before the final project is deployed to a live server or source files are handed over to the Client.

  • 1.3. Payment Methods: All payments are to be made via the methods specified on the invoice.

2. Scope of Services & Revisions

  • 2.1. Quoted Services: The services included are strictly limited to those explicitly listed in the project proposal or final invoice.

  • 2.2. Scope Creep: Any work, features, or integrations requested by the Client that fall outside the agreed-upon scope (“scope creep”) will be treated as additional work. This will be quoted separately and will require the Client’s approval and payment before implementation.

  • 2.3. Revision Rounds: The project fee includes up to two (2) major rounds of revisions during the design phase and one (1) minor round of revisions post-development. Subsequent revisions or changes will be billed at our standard hourly rate.

3. Client Responsibilities & Deliverables

  • 3.1. Content & Materials: The Client is responsible for providing all necessary content (e.g., text, images, logos, videos) in a timely manner. The project timeline is dependent on the prompt provision of these materials.

  • 3.2. Timely Feedback: The Client agrees to provide timely feedback and approvals. Delays in feedback will result in a corresponding extension of the project timeline. If feedback is not provided within 15 business days of a request, the Company reserves the right to deem the milestone as approved and proceed accordingly.

4. Third-Party Costs & Renewals

  • 4.1. Server, Hosting & Domain: All fees related to web servers, hosting, and domain names are the Client’s responsibility unless expressly included as a line item in the invoice.

  • 4.2. SSL Certificate: If an SSL certificate is included, it is valid for one (1) year from the deployment date. The Client is responsible for its renewal and associated costs thereafter.

  • 4.3. Plugins & Licenses: Costs for premium themes, plugins, stock photography, or other third-party licenses required for the project are not included in the project fee unless specified and must be paid by the Client.

5. Project Timelines, Testing & Acceptance

  • 5.1. Timelines: All project timelines provided are estimates. While we strive to meet them, timelines can be affected by scope creep, delays in Client feedback, or unforeseen technical challenges.

  • 5.2. Testing Period: Upon completion of development, the Client will have a period of seven (7) business days to test the project and report any bugs or issues that are within the original project scope.

  • 5.3. Final Acceptance: The project will be considered “complete” and accepted by the Client if no feedback identifying bugs is received within the 7-day testing period, or once the Client provides written approval. The final invoice will then be issued.

6. Post-Launch Warranty & Support

  • 6.1. 30-Day Warranty: We provide a 30-day warranty period following final deployment. During this time, we will correct any bugs or errors related to the original scope of work at no charge. The warranty does not cover issues caused by user error, third-party software updates, or modifications made by the Client.

  • 6.2. Maintenance & Support: This agreement does not include ongoing website maintenance, security updates, or technical support. These services can be provided under a separate Annual Maintenance Contract (AMC).

7. Intellectual Property & Portfolio Rights

  • 7.1. Ownership: Upon receipt of final payment, the Company grants the Client full ownership rights to the final, deployed website or software.

  • 7.2. Retained Rights: The Company retains the right to use its pre-existing and underlying technologies, source code, libraries, and frameworks.

  • 7.3. Portfolio: The Client grants Vanijya Technology a non-exclusive right to display the completed project, including screenshots and a link to the live project, in our portfolio, website, and marketing materials.

8. Refund & Cancellation Policy

  • 8.1. Non-Refundable Payments: All payments made to the Company are non-refundable. The 40% advance covers administrative costs, project planning, and resources allocated.

  • 8.2. Cancellation: Should the Client choose to cancel the project after commencement, the advance payment will be forfeited. The Client will also be invoiced for any work completed beyond the value of the advance payment.

9. Legal & Administrative

  • 9.1. Limitation of Liability: In no event shall Vanijya Technology be liable for any lost profits, or any indirect, special, incidental, or consequential damages arising out of the services provided. The Company’s total liability to the Client under this agreement shall not exceed the total fees paid by the Client.

  • 9.2. Confidentiality: Both parties agree to keep all shared confidential information private and not to disclose it to any third party.

  • 9.3. Governing Law & Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of India. Any legal action or proceeding shall be brought exclusively in the courts of Uttar Pradesh.
